Trustee Authorization. (i) The execution, delivery and performance of this Agreement by such Buyer and the consummation by such Buyer of the transactions contemplated hereby are within its powers, and (ii) this Agreement has been duly executed and delivered by such ▇▇▇▇▇ A, and, assuming due authorization, execution and delivery by Applicable Seller, constitutes a legal, valid and binding agreement of such Buyer, enforceable against such Buyer in accordance with its terms (subject to the Remedies Exception).
