Required Authorizations. There is no requirement to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity as a condition to the lawful completion of the transactions contemplated by this Agreement.
Required Authorizations. BUYER shall obtain and procure all necessary corporate and other approvals and authorizations, if any, required on its part to enable it to fully perform all obligations imposed on it hereunder which must be performed by it at or prior to the Closing.

PSINet shall obtain, at its sole cost and expense, from any appropriate public and/or private authority, any required permission, authorization, permit, license or easement (collectively, the "Authorizations") to bring fiber to the IXC Premises and, or needed to construct, install, operate and maintain the POP-to-POP Interconnect Facility and to use the property over which the POP-to-POP Interconnect Facility will be operated and maintained. PSINet represents and warrants that such Authorizations shall be in effect for the entire Term of this Agreement. IXC shall cooperate with PSINet in its efforts to obtain such authorizations.

There have been or will be timely filed, given, obtained or taken, all applications, notices, consents, approvals, orders, registrations, qualifications waivers or other actions of any kind required by virtue of execution and delivery of this Agreement by MarketCentral or the consummation by it of the transactions contemplated hereby and appropriate corporate filings shall have been made in the State of New York, as required.
Required Authorizations. There is no requirement to make any filing with, give any notice to, or obtain any Authorization of, any Governmental Entity as a condition to the lawful completion of the transactions contemplated by this Agreement by the Purchaser, except in respect of the receipt of the approval of the Toronto Stock Exchange with respect to the issuance of the Consideration Shares, and where the failure to obtain such consent, approval or waiver would not materially affect the Purchaser’s ability to consummate the transactions contemplated by this Agreement and the Ancillary Agreements.
