Common use of Transferee Entitled to Registration Clause in Contracts

Transferee Entitled to Registration. The transferee of a Warrant shall, after the transfer form attached to the Warrant Certificate is duly completed and the Warrant Certificate and transfer form are lodged with the Warrant Agent, and upon compliance with all other conditions in that regard required by this Indenture and by all applicable securities legislation and requirements of regulatory authorities, be entitled to have his name entered on the register as the owner of such Warrant free from all equities or rights of set-off or counterclaim between the Corporation and his transferor or any previous Holder of such Warrant, save in respect of equities of which the Corporation or the transferee is required to take notice by statute or by order of a court of competent jurisdiction.

The transferee of a Warrant Debenture shall, after the transfer form attached to the Warrant Certificate Debenture or any other form of transfer substantially in that form is duly completed and the Warrant Certificate Debenture and form of transfer form are lodged with the Warrant Agent, Trustee and upon compliance with all other conditions in that regard required by this Indenture and or by all applicable securities legislation and requirements of regulatory authoritieslaw, be entitled to have his name entered on the register as the owner of such Warrant Debenture free from all equities or rights of set-off or counterclaim between the Corporation and his transferor or any previous Holder pervious holder of such WarrantDebenture, save in respect of equities of which the Corporation or the transferee is required to take notice by statute or by order of a court of competent jurisdiction.

The transferee of a Special Warrant shall, after the transfer form attached to the Special Warrant Certificate is duly completed and the Special Warrant Certificate and transfer form are lodged with the Warrant AgentTrustee, and upon compliance with all other conditions in that regard required by this Indenture and by all applicable securities legislation and requirements of regulatory authorities, be entitled to have his name entered on the register as the owner of such Special Warrant free from all equities or rights of set-off or counterclaim between the Corporation Company and his transferor or any previous Holder of such Special Warrant, save in respect of equities of which the Corporation Company or the transferee is required to take notice by statute or by order of a court of competent jurisdiction.
