Payment of Interest. The Borrower to which a Loan has been made shall pay accrued interest on that Loan on the last day of each Interest Period (and, if the Interest Period is longer than six Months, on the dates falling at six monthly intervals after the first day of the Interest Period).

On or before 9:00 a.m. (Vancouver time) on the fourth Business Day immediately prior to an Interest Payment Date, as applicable, for Debentures outstanding from time to time under this Indenture, the Corporation will deliver to the Trustee a certified cheque or wire transfer in an amount sufficient to pay the cash amount payable in respect of such Debentures regarding any accrued and unpaid interest thereon, and including any Taxes required by applicable law to be deducted or withheld by the Trustee and remitted to the applicable governmental authority, which the Trustee shall deduct and remit as required by applicable law. (a) As interest becomes due on each Debenture (except, subject to certain exceptions set forth herein including in Section 2.2, on conversion or on redemption, when interest will be paid upon surrender of such Debenture), the Corporation, through the Trustee or any agent of the Trustee, shall send or forward by prepaid ordinary mail, electronic transfer of funds or such other means as may be agreed to by the Trustee, on or prior to the applicable Interest Payment Date, payment of such interest to the order of the registered holder of such Debenture as appearing on the registers maintained by the Trustee at the close of business on the applicable Interest Calculation Date and addressed to the holder at the holder’s last address appearing on the register, unless such holder otherwise directs. Provided the Trustee is in receipt of funds from the Corporation prior to making any payment, if payment is made by cheque, such cheque shall be forwarded at least three days prior to each applicable Interest Payment Date, and if payment is made by other means (such as electronic transfer of funds), such payment shall be made in a manner whereby the holder receives credit for such payment on such Interest Payment Date. The mailing of such cheque or the making of such payment by other means shall, to the extent of the sum represented thereby, plus the amount of any tax withheld as aforesaid, satisfy and discharge all liability for interest on such Debenture, unless in the case of payment by cheque, such cheque is not paid at par on presentation.
