Common use of Transferee Entitled to Registration Clause in Contracts

Transferee Entitled to Registration. The transferee of a Note shall be entitled, after the appropriate form of transfer is deposited with the Trustees or other Registrar and upon compliance with all other conditions in that behalf required by this Indenture (including, in the case where a transferee shall receive Notes in definitive form with the legend contemplated by Section 2.6(e), upon delivery of a transferee certificate substantially in the form of Schedule B.1 to this Indenture) or by law, to be entered on the register as the owner of such Note free from all equities or rights of compensation, set-off or counterclaim between the Issuer and the transferor or any previous Holder of such Note, save in respect of equities of which the Issuer is required to take notice by statute or by order of a court of competent jurisdiction.
