Common use of Transfer of Restricted Physical Debenture for Restricted Physical Debenture Clause in Contracts

Transfer of Restricted Physical Debenture for Restricted Physical Debenture. A Restricted Physical Debenture may be transferred to a Person who takes delivery thereof in the form of a Restricted Physical Debenture if the Trustee receives a certificate to the effect set forth in Schedule D, including the certifications in item (1) thereof.

Transfer of Restricted Physical Debenture for Restricted Physical Debenture. A Restricted Physical Debenture may be transferred to a Person who takes delivery thereof in the form of a Restricted Physical Debenture or a Restricted Uncertificated Debenture if the Trustee Company receives a certificate an opinion of counsel of recognised standing, in form and substance reasonably satisfactory to the Company, to the effect set forth that such transfer or exchange is in Schedule D, including compliance with an available exemption from the certifications in item (1) thereofregistration requirements of the 1933 Act and all applicable state securities laws.

A Restricted Physical Debenture may be transferred to a Person who takes delivery thereof in the form of a Restricted Physical Debenture if the Trustee receives a certificate to the effect set forth in Schedule DE, including the certifications in item (1) thereof.

A Restricted Physical Debenture may be transferred to a Person who takes delivery thereof in the form of a Restricted Physical Debenture if the Trustee receives a certificate to the effect set forth in Schedule DE hereto, including the certifications in item (1) thereof.

A Restricted Physical Debenture may be transferred to a Person who takes delivery thereof in the form of a Restricted Physical Debenture if the Trustee receives a certificate an opinion of counsel of recognised standing, in form and substance reasonably satisfactory to the Trustee and the Corporation, to the effect set forth that such transfer or exchange is in Schedule D, including compliance with the certifications in item (1) thereof1933 Act and all applicable state securities laws.
