Transfer of Mortgage Loans; Assignment of Agreement. The Originators and the Unaffiliated Seller each hereby acknowledges and agrees that the Depositor or the Trust may assign its interest under this Agreement to the Indenture Trustee as may be required to effect the purposes of the Indenture and the Sale and Servicing Agreement, without further notice to, or consent of, the Unaffiliated Seller or the Originators, and the Indenture Trustee shall succeed to such of the rights and obligations of the Depositor and the Trust hereunder as shall be so assigned. The Depositor shall, pursuant to the Sale and Servicing Agreement, assign all of its right, title and interest in and to the Mortgage Loans and its right to exercise the remedies created by Sections 2.06 and 3.05 hereof for breaches of the representations, warranties, agreements and covenants of the Unaffiliated Seller or the Originators contained in Sections 2.05, 2.06, 3.02 and 3.03 hereof to the Trust, and the Trust shall, pursuant to the Indenture, pledge such right, title and interest to the Indenture Trustee, for the benefit of the Noteholders and the Note Insurer. Each of the Originators and the Unaffiliated Seller agrees that, upon such assignment to the Trust and pledge to the Indenture Trustee, such representations, warranties, agreements and covenants will run to and be for the benefit of the Indenture Trustee and the Indenture Trustee may enforce, without joinder of the Depositor or the Trust, the repurchase obligations of the Unaffiliated Seller and the Originators set forth herein with respect to breaches of such representations, warranties, agreements and covenants.
Transfer of Mortgage Loans; Assignment of Agreement. The Unaffiliated Seller hereby acknowledges and agrees that the Depositor may assign its interest under this Agreement to the Trustee as may be required to effect the purposes of the Pooling and Servicing Agreement, without further notice to, or consent of, the Unaffiliated Seller, and the Trustee shall succeed to such of the rights and obligations of the Depositor hereunder as shall be so assigned. The Depositor shall, pursuant to the Pooling and Servicing Agreement, assign all of its right, title and interest in and to the Mortgage Loans and its right to exercise the remedies created by Sections 2.06 and 3.05 hereof for breaches of the representations, warranties, agreements and covenants of the Unaffiliated Seller contained in Sections 2.05, 2.06, 3.02 and 3.03 hereof to the Trustee for the benefit of the Certificateholders and the Certificate Insurer. The Unaffiliated Seller agrees that, upon such assignment to the Trustee, such representations, warranties, agreements and covenants will run to and be for the benefit of the Trustee and the Trustee may enforce, without joinder of the Depositor, the repurchase obligations of the Unaffiliated Seller set forth herein with respect to breaches of such representations, warranties, agreements and covenants.
Transfer of Mortgage Loans; Assignment of Agreement. The Seller hereby acknowledges and agrees that the Purchaser may assign its interest under this Agreement to the Trust as may be required to effect the purposes of the Pooling and Servicing Agreement, without further notice to, or consent of, the Seller, and the Trust shall succeed to such of the rights and obligations of the Purchaser hereunder as shall be so assigned. The Purchaser shall, pursuant to the Pooling and Servicing Agreement, assign all of its right, title and interest in and to the Conveyed Property to the Trustee for the benefit of the Certificateholders.

The Seller hereby acknowledges and agrees that the Purchaser may sell, transfer and assign its interest under this Agreement in accordance with the Sale and Servicing Agreement to the Issuer and the Indenture Trustee as may be required to effect the purposes of the Sale and Servicing Agreement and the Indenture, without further notice to, or consent of, the Seller, and the Issuer and Indenture Trustee shall succeed to such of the rights and obligations of the Purchaser as shall be so assigned.

The Depositor has the right to assign its interest under this Agreement to the Trustee as may be required to effect the purposes of the Pooling and Servicing Agreement, without further notice to, or consent of, the Unaffiliated Seller, and the Trustee shall succeed to such of the rights and obligations of the Depositor hereunder as shall be so assigned. The Depositor shall, pursuant to the Pooling and Servicing Agreement, assign all of its right, title and interest in and to the Purchased Loans and the other Purchased Assets, together with all other rights relating to the foregoing, to the Trustee for the benefit of the Owners of the Certificates. The Unaffiliated Seller agrees that, upon such assignment to the Trustee, all rights of the Depositor with respect to the Purchased Loans and the other Purchased Assets will run to and be for the benefit of the Trustee and the Trustee may enforce diligently, without joinder of the Depositor, any and all of such rights.

The Transferor hereby acknowledges and agrees that the Depositor, in accordance with the Sale and Servicing Agreement, may transfer the Mortgage Loans and assign its interest in this Agreement to the Issuer and the Indenture Trustee as may be required to effect the purposes of the Sale and Servicing Agreement, without further notice to, or consent of, the Transferor, and the Issuer or the Indenture Trustee shall succeed to such of the rights and obligations of the Depositor as shall be so assigned.

The Seller hereby acknowledges and agrees that the Purchaser may sell, transfer and assign its interest under this Agreement to the Depositor, who in accordance with the Sale and Servicing Agreement may assign its interest to the Issuer and the Indenture Trustee as may be required to effect the purposes of the Sale and Servicing Agreement and the Indenture, without further notice to, or consent of, the Purchaser or Seller, and the Issuer and Indenture Trustee shall succeed to such of the rights and obligations of the Depositor as shall be so assigned.

The Depositor has the right to assign its interest under this Agreement to the Trust as may be required to effect the purposes of the Sale and Servicing Agreement and the Trust has the right to pledge such interest to the Indenture Trustee as may be required to effect the purposes of the Indenture, without further notice to, or consent of, the Sponsor, and the Trust and the Indenture Trustee shall succeed to such of the rights and obligations of the Depositor hereunder as shall be so assigned. The Depositor shall, pursuant to the Sale and Servicing Agreement, assign all of its right, title and interest in and to the Mortgage Loans and its right to exercise the remedies created by this Section 2.06 and Section 3.05 to the Trust and the Trust shall pledge all of its right, title and interest in and to the Mortgage Loans and its right to exercise the remedies created by this Section 2.06 and Section 3.05
