Common use of Title to Replaced Equipment Clause in Contracts

Title to Replaced Equipment. Upon compliance by the Lessee with the terms of Section 11.03(a) hereof, the Lessor will transfer to the Lessee (subject to any insurer's salvage rights), without recourse or warranty (except as to the absence of Lessor's Liens), all of the Lessor's right, title and interest, if any, in and to the Airframe and Engines with respect to which such Event of Loss occurred. In connection with such transfer, the Lessee shall prepare and the Lessor shall execute or forward to the Indenture Trustee for execution, as the case may be, all in recordable form, a xxxx of sale evidencing such transfer, a release of the Airframe and Engines with respect to which such Event of Loss occurred from the Indenture and such other documents as the Lessee reasonably requests, all at the Lessee's sole cost and expense. Any Engine constituting part of the Aircraft, but not installed on the Airframe when such Event of Loss occurred, shall continue to be property of the Lessor and leased under this Lease as part of the same equipment as the Replacement Airframe and Replacement Engines.
