Common use of Timeliness of Instructions Clause in Contracts

Timeliness of Instructions. In giving an Instruction, the Fund shall take into consideration delays which may occur due to the involvement of a Subcustodian or agent, differences in time zones, and other factors particular to a given market, exchange or issuer. the Custodian shall attempt in good faith to execute any Instruction (including any modification or revocation of a previous Instruction) received by the Custodian after either (i) specific timing requirements or deadlines established by the Custodian with respect to particular classes of Instruction, or (ii) such a time that the Custodian could not reasonably be expected to have acted on such Instruction due to time zone differences or other factors beyond its reasonable control, but shall not be held responsible for losses resulting from its inability to do so.
