Third Party Hosting. Customer is authorized to install and use the Licensed Programs remotely on computers operated by a well-established, reputable third party service provider, and to appoint such service provider to operate the hardware and manage the Licensed Programs solely for and on behalf of Customer; provided however, that (i) only duly authorized users shall have the right to use the Licensed Programs; (ii) Customer shall enter into a written agreement with such service provider under which the service provider agrees that its access to the Licensed Programs is solely for the purpose of providing the services mentioned above to Customer and is otherwise subject to all of the restrictions and limitations contained in this Agreement; and (iii) such service provider is not part of a group of companies which provides products or services competing with DS Offerings. Customer acknowledges and agrees that the service provider shall be deemed an agent of Customer. If Customer becomes aware of any actual or suspected unauthorized access, use or disclosure of the Licensed Programs, Customer shall immediately terminate the service provider’s access to the Licensed Programs. Customer shall defend and indemnify DS against any claim, expense, judgment, damage or loss (including reasonable attorneys’ fees), which arises out of or in any way relates to any such service provider’s access to or use of the Licensed Programs.

Third Party Hosting. You may have a third party host the software on your behalf solely for access by you and your affiliates. You may not permit your third party hosting vendor to allow access to the software by unaffiliated third parties except as otherwise allowed through an external connector license. Your third party hosting vendor must agree to be bound by these terms.
Third Party Hosting. In the event one or more network address(es) to be monitored by Avaya are associated with systems owned, managed, and/or hosted by a third party service provider (“Host”), Customer will: (i) notify Avaya of the Host prior to commencement of the Services; (ii) obtain the Host’s advance written consent for Avaya to perform the Services on the Host’s computer systems and provide Avaya with a copy of the consent upon request; and (iii) facilitate necessary communications between Avaya and the Host in connection with the Services.

Third Party Hosting. Ordering Activity may operate the Appian Software at a third party co-location facility, provided Ordering Activity: (i) notifies Contractor through Appian of the address and name of the entity operating the co-location facility (“Hosting Entity”), (ii) authorizes Contractor through Appian to share the name and address of the Hosting Entity with Appian’s licensors, and (iii) Ordering Activity and the Hosting Entity enter into a written agreement in which the Hosting Entity agrees: (I) to store and/or load the Appian Software only on computers and media that are reasonably secure from unauthorized access, (II) only to operate the Appian Software to make it available to Ordering Activity over the Internet or other transmission medium and not for any other purpose, and (III) not to attempt to reverse engineer, disassemble, decompile or otherwise attempt to derive the source code from the Appian Software.
Third Party Hosting. Customer may have a third party host the Software on behalf of Customer, provided that such third party complies with this Agreement. Such third party shall not have any right to Use the Software except to the extent reasonably necessary to facilitate Customer’s Use of the Software in accordance with this Agreement. Customer shall be responsible for any failure of such third party to comply with this Agreement. Any such hosting and any losses or damages in connection therewith, including without limitation any loss or corruption of data, will be at Customer’s sole risk and expense. Denim Group shall have no responsibility or liability whatsoever for such hosting or any action or omission by such third party. CUSTOMER SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS DENIM GROUP, ITS LICENSORS AND AFFILIATES, AND EACH OF THEIR OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “DENIM GROUP INDEMNIFIED PARTIES”) AGAINST ALL EXPENSES, CLAIMS, DEMANDS, DAMAGES, CAUSES OF ACTION, LIABILITIES, LOSSES, JUDGMENTS, AWARDS, LAWSUITS, ARBITRATIONS OR OTHER LITIGATION AND COSTS, INCLUDING REASONABLE ATTORNEYS’ FEES, REASONABLY INCURRED IN THE DEFENSE OF ANY CLAIM BROUGHT AGAINST ANY DENIM GROUP INDEMNIFIED PARTY ARISING OUT OF OR RELATED TO SUCH HOSTING OR ANY ACTION OR OMISSION BY SUCH THIRD PARTY.
Third Party Hosting. Converge and the Converge Subsidiaries shall have the right to sublicense one or more third-party hosting entities to reproduce, install, publicly perform, publicly display and host any of the Products, in Object Code form, on such third party's servers, subject to the terms of this Agreement. Such sublicenses shall be granted pursuant to written agreements that authorize such third-party hosting entities to host, operate and/or maintain such Products solely on behalf of Converge and the Converge Subsidiaries as permitted hereunder.

Third Party Hosting. Licensor may use the services of one or more entities who are not a party to this Agreement (“Third Parties”) to deliver any part of the Services. Licensor will pass through any warranties to the extent that Licensor receives any from its then-current Third-Party service provider and, at Your request, Licensor shall provide the relevant terms unless they are confidential. You agree to comply with any acceptable use policies and other terms of any Third Party service provider.
Third Party Hosting. If the Vendor has the State’s data hosted by another party, the Vendor must provide the State the name of this party. The Vendor must provide the State with contact information for this third party and the location of their data center(s). The Vendor must receive from the third party written assurances that the State’s data will always reside in the continental United States and provide these written assurances to the State. This restriction includes the data being viewed or accessed by the third-party’s employees or contractors. If during the term of this Agreement the Vendor changes from the Vendor hosting the data to a third-party hosting the data or changes third-party hosting provider, the Vendor will provide the State with 180 days’ advance notice of this change and at that time provide the State with the information required above.
