The Servicer to Pay Trustees’ Fees and Expenses. Subject to separate written agreements with the Trustee and the Delaware Trustee, the Servicer covenants and agrees to, and the Servicer shall, pay each of the Trustee and the Delaware Trustee from time to time, and such trustee shall be entitled to payment, for all services rendered by it in the execution of the trust hereby created and in the exercise and performance of any of the powers and duties hereunder of such trustee. Except as otherwise expressly provided herein, the Servicer shall pay or reimburse each of the Trustee and the Delaware Trustee upon such trustee’s request for all reasonable expenses and disbursements incurred or made by such trustee in accordance with any of the provisions of this Agreement, including any such expenses incurred or made in connection with a transfer of servicing, and shall indemnify the institution acting as such trustee, both in its individual capacity and as trustee, from any loss, liability or expense incurred by it hereunder (including the reasonable compensation and the expenses and disbursements of its counsel and of all persons not regularly in its employ and any expenses which arise out of or are imposed upon the Trustee or the Delaware Trustee in connection with the creation, operation or termination of the Trust) except any such expense or disbursement as may arise from its own negligence or bad faith. Such obligation shall survive the termination of this Agreement or resignation or removal of the Trustee or the Delaware Trustee. The Servicer shall, at its expense, prepare or cause to be prepared all federal and state income tax and franchise tax and information returns relating to REMIC I, REMIC II or REMIC III required to be prepared or filed by the Trustee or the Delaware Trustee and shall indemnify the Trustee and the Delaware Trustee for any liability of such trustees arising from any error in such returns.

Except as otherwise expressly provided hereinthe Trustee, and, subject to Section 8.4, the Servicer shall will pay or reimburse each of the Trustee and (without reimbursement from the Delaware Trustee Collection Account or otherwise) upon such trustee’s its request for all reasonable expenses expenses, disbursements and disbursements advances incurred or made by such trustee the Trustee in accordance with any of the provisions of this Agreement, including Agreement or any such expenses incurred or made in connection with a transfer of servicing, and shall indemnify the institution acting as such trustee, both in its individual capacity and as trustee, from any loss, liability or expense incurred by it hereunder Supplement (including the reasonable compensation fees and the expenses and disbursements of its counsel agents and of all persons not regularly in its employ and any expenses which arise out of or are imposed upon the Trustee or the Delaware Trustee in connection with the creation, operation or termination of the Trustcounsel) except any such expense expense, disbursement or disbursement advance as may arise from its own negligence or bad faithfaith and except as provided in the following sentence. Such obligation If the Trustee is appointed Successor Servicer pursuant to Section 10.2, the provisions of this Section 11.5 shall not apply to expenses, disbursements and advances made or incurred by the Trustee in its capacity as Successor Servicer. If Profxxxx'x, Xxc. is not the Servicer, Profxxxx'x, Xxc. shall guarantee the payment of all amounts payable to the Trustee under this Section 11.5, and upon any payment pursuant to such guaranty, and Profxxxx'x, Xxc. shall be subrogated to all rights of the Trustee to recover such amounts from the Servicer. The obligations of the Servicer and the Transferor under this Section 11.5 and Section 8.4 shall survive the termination of this Agreement or the Trust and the resignation or removal of the Trustee or the Delaware Trustee. The Servicer to Pay Trustees’ Fees and Expenses. Subject to separate written agreements with the Trustee and the Delaware Trustee, the The Servicer covenants and agrees to, and to pay to the Servicer shall, pay each of the Trustee and the Delaware Trustee from time to time, and such trustee the Trustee shall be entitled to paymentreceive, reasonable compensation (which shall not be limited by any provision of law in regard to the compensation of a trustee of an express trust) for all services rendered by it the Trustee in the execution of the trust hereby created and in the exercise and performance of any of the powers and duties hereunder of such trustee. Except as otherwise expressly provided hereinthe Trustee, and, subject to Section 8.04 hereof, the Servicer shall will pay or reimburse each of the Trustee and the Delaware Trustee (without reimbursement from any Collection Account or any Series Account) upon such trustee’s its request for all reasonable expenses expenses, disbursements and disbursements advances incurred or made by such trustee the Trustee in accordance with any of the provisions of this Agreement, including any such expenses incurred or made in connection with a transfer of servicing, and shall indemnify the institution acting as such trustee, both in its individual capacity and as trustee, from any loss, liability or expense incurred by it hereunder Agreement (including the reasonable compensation fees and the expenses and disbursements of its counsel agents, any co-trustee and of all persons not regularly in its employ and any expenses which arise out of or are imposed upon the Trustee or the Delaware Trustee in connection with the creation, operation or termination of the Trustcounsel) except any such expense expense, disbursement or disbursement advance as may arise from its own negligence gross negligence, wilful misconduct, breach of fiduciary duty or bad faithfaith and except as provided in the second following sentence. Such obligation The Servicer's covenants to pay the expenses, disbursements and advances provided for in the preceding sentence shall survive the termination of this Agreement or resignation or removal of Agreement. If the Trustee is appointed Successor Servicer pursuant to Section 10.02 hereof, the provisions of this Section 11.05 shall not apply to expenses, disbursements and advances made or the Delaware Trustee. The Servicer shall, at its expense, prepare or cause to be prepared all federal and state income tax and franchise tax and information returns relating to REMIC I, REMIC II or REMIC III required to be prepared or filed incurred by the Trustee in its capacity as Successor Servicer, which shall be covered out of the Servicing Fee; provided, however, if such expenses, disbursements and advances incurred by the Trustee are in amount in excess of the Servicing Fee, such excess amount shall be paid in full to the Trustee by BCI. To the extent, if any, that any federal, state or local taxes (including income and franchise taxes) are payable by the Delaware Trustee Trust, such taxes shall be payable solely out of Trust Assets and shall indemnify not out of the personal assets of the Trustee and the Delaware Trustee for Servicer shall not be obligated to pay the amount of any liability of such trustees arising from any error in such returnstax.
