Common use of The Postpetition Financing Documents Clause in Contracts

The Postpetition Financing Documents. Subject to the entry and the terms of the Interim Order and the Final Order, as applicable, the execution, delivery and performance by the Borrower of the Postpetition Financing Documents to which it is a party are within the Borrower’s limited liability company powers, have been duly authorized by all necessary limited liability company action on the part of the Borrower, do not contravene: (i) the articles of organization or operating agreement of the Borrower; or (ii) any law or any material contractual restriction binding on the Borrower the violation of which could reasonably be expected to have a Material Adverse Effect; and, except as contemplated or created by this Agreement and the other Postpetition Financing Documents, the execution, delivery and performance by the Borrower of the Postpetition Financing Documents do not result in or require the creation of any Lien upon or with respect to any of its properties.
