Common use of Test Dates Clause in Contracts

Test Dates. The Buyer shall be entitled to test compliance by the Seller with its Coverage Ratio obligations pursuant to this Clause 19 (Coverage Ratios) on any of the following dates (each a 'Test Date'): (a) each Semi-Annual Date; (b) upon (and any date falling after) the occurrence of any Default or Event of Default which is continuing; and (c) on any other date as reasonably requested by the Buyer provided that the Buyer shall not deliver more than two (2) such requests in a calendar year to the Seller.
