Terms Superseding. Any provision of a writing memorializing the Underlying Arrangement that is directly contradictory to one or more terms of this Agreement (“Contradictory Term”) shall be superseded by the terms of this Agreement as of the Effective Date of this Agreement to the extent and only to the extent of the contradiction, only for the purpose of UC’s compliance with the Privacy Rule and only to the extent that it is reasonability impossible to comply with both the Contradictory Term and the terms of this Agreement. In addition, no limitation of liability agreed to by UC shall be applicable to this Agreement, notwithstanding any language in another agreement to the contrary.
