Common use of Termination without Cause and not in Connection with a Change in Control Clause in Contracts

Termination without Cause and not in Connection with a Change in Control. If the Company terminates Executive’s employment with the Company for a reason other than Cause, Executive becoming Disabled or Executive’s death at any time other than during the twenty-four (24)-month period immediately following a Change in Control, then, subject to Section 4, Executive will receive the following severance benefits from the Company:

Termination without Cause and not in Connection with a Change in Control. If the Company terminates Executive’s employment with the Company for a reason other than for Cause, Executive becoming Disabled or Executive’s death at any time other than during the twenty-four twelve (24)-month 12)-month period immediately following a Change in Control, then, subject to Section 47, Executive will receive the following severance benefits from the Company:

If the Company terminates Executive’s employment with the Company for a reason other than Cause, Executive becoming Disabled Disabled, or Executive’s death death, at any time other than during the twenty-four twelve (24)-month 12)-month period immediately following the Effective Date (the “Initial Year of Service”) or the twelve (12)-month period immediately following a Change in Control, then, subject to Section 4, Executive will receive the following severance benefits from the Company:

If the Company terminates Executive’s 's employment with the Company for a reason other than Cause, Executive becoming Disabled (as defined below) or Executive’s 's death at any time (other than during the twenty-four (24)-month period immediately following in connection with a Change in ControlControl which is exclusively governed by Section 3(b) of the Agreement), then, subject to Section 4the terms of this Agreement, Executive will receive the following severance payments and benefits from at the Companytimes specified below:
