Termination of Prior Facility. The Borrower terminates any right it has to obtain credit under the Credit Agreement, dated as of January 31, 2006, between the Borrower and the Bank (the "Prior Credit Agreement"); and the Bank and the Borrower agree that the Prior Credit Agreement shall be deemed terminated except for any indemnification or other provisions therein in favor of the Bank which are expressly stated to survive the termination of such agreement or the repayment of the obligations evidenced thereby. The Bank terminates its security interest in the Collateral (as defined in the Security Agreement referred to in the Prior Credit Agreement); and the Bank and the Borrower agree that the Security Agreement and the Control Agreement, each as defined in the Prior Credit Agreement, shall be deemed terminated except for any indemnification or other provisions contained therein in favor of the Bank which are expressly stated to survive the termination of either such agreement or the repayment of the obligations secured thereby. The Bank further authorizes the Borrower or its agents to terminate of record Uniform Commercial Code financing statement number 181257941, from the Borrower, as debtor, to the Bank, as secured party, filed on February 6, 2006, in the Uniform Commercial Code records of the Maryland Department of Assessments and Taxation.
