Termination for Convenience by DCSD. DCSD may terminate this Agreement or any SOW for convenience upon giving Supplier thirty (30) days prior written notice. In such event, Supplier shall be entitled to payment as described in Section 14.4.2, but shall be obligated to mitigate its costs and damages arising from such termination for convenience. In no event will DCSD be liable for any exit or termination fee.
