Termination by the Company Without Cause or by Executive for Good Reason. If Executive’s employment is terminated by the Company without Cause (as defined in Section 7.8(a)) or by Executive for Good Reason (as defined in Section 7.8(e)), Executive shall be entitled to receive:

If (a) Subject to Executive’s compliance with Section 7 and subject to the execution by Executive, without revocation, of a general release in the form attached as Exhibit A or in other form satisfactory to the Company (the “Release”), if during the Term Executive’s employment is terminated by the Company terminates without Cause (as defined in Section 7.8(a)) or by Executive terminates his employment for Good Reason (as defined in Section 7.8(e))Reason, Executive shall will receive the following in lieu of any payments or benefits to which Executive would otherwise be entitled to receiveunder any Company severance plan:
