Termination by CDI. If the LTC materially breaches its obligations under this Agreement more than two (2) times in any twelve (12) month period or more than three (3) times in any twenty-four (24) month period (regardless of whether such breaches are eventually cured), then CDI, at its option and upon thirty (30) days prior written notice to LTC, may: (i) terminate this Agreement, (ii) terminate LTC as distributor pursuant to this Agreement, or (iii) appoint LTC as its non-exclusive distributor of the E8 Media and E8 Kits and terminate LTC's status as an exclusive distributor hereunder.
