Term; Effectiveness. This Agreement shall become effective concurrently with the Closing and shall terminate with respect to any Holder on the date that such Holder no longer holds any Registrable Securities. The provisions of Section 3.5 and Article IV shall survive any termination. Notwithstanding the foregoing, if the BCA is validly terminated pursuant to and in accordance with its terms prior to the Effective Time (as defined in the BCA), this Agreement shall be null and void and shall not create any rights, obligations or liability with respect to any party hereto, and the Existing Agreements shall remain in full force and effect to the extent of its terms.
