Tax Implications. The provision of Bonus, severance and/or any other compensation and benefits described or contemplated in this Agreement may have significant personal tax implications or consequences for Executive. Executive expressly acknowledges and understands that neither the Company nor any of its agents, representatives, officers, directors, members, investors, managers, employees, attorneys, or any other person or entity acting on behalf of the Company has made any representation to Executive or provided any advice to Executive concerning any tax implications or consequences of any of the benefits or compensation contemplated under this Agreement.
