Common use of Surviving License Clause in Contracts

Surviving License. Effective upon (a) the expiration of the Term pursuant to Section 9.1 (but not the termination of this Agreement for any other reason), (b) Company’s payment in full of all obligations of Company arising prior to such date, and (c) Company’s compliance with all of Company’s obligations, both prior to and surviving such date, under this Agreement, Cornell hereby grants to Company a fully paid-up, non-exclusive license to use the Technical Information in the Field of Use in the Territory.
