Survival of Indemnification Obligations. Notwithstanding any other provision of this Agreement to the contrary (including, without limitation, Paragraph 4.3, above), each party's obligation to indemnify, defend and hold harmless the other party shall survive the termination of the Term and this Agreement with respect to the negligent acts or omissions or willful misconduct of the indemnifying party prior to the effective date of such termination.
