Common use of Supplier Responsibility Clause in Contracts

Supplier Responsibility. Supplier shall be responsible for the provision of the Services in accordance with this Agreement even if, by written agreement of the Parties, such Services are actually performed or dependent upon services performed by (i) Subcontractors, (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft employees, or (iii) subject to Section 6.6, Managed Third Parties.

Supplier Responsibility. Supplier shall be responsible for the provision of the Services in accordance with this Agreement even if, by written agreement of the Parties, if such Services are actually performed or dependent upon services performed by (i) Subcontractors, , or (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft employees, or (iii) subject to Section 6.6, Managed Third Parties, to the extent provided in Schedules E and D.2.

Supplier Responsibility. (1) Supplier shall be responsible for the provision of the Services in accordance with the terms of this Agreement even if, by written agreement of the Parties, such Services are actually performed by persons other than Supplier Personnel acting under the management and direction of Supplier, including Company Personnel and Third Party Vendors, except to the extent that such Company Personnel or dependent upon services performed by (i) SubcontractorsThird Party Vendors other than Supplier fail to satisfactorily follow the reasonable management and direction of Supplier and such failure results in a deficiency in delivery of the Services, (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft employees, or 16.2 (iii) subject to Section 6.6, Managed Third PartiesSavings Clause).

Supplier Responsibility. Supplier shall be responsible for the provision of the Services in accordance with this Agreement and Subscription Agreements and the applicable Service Levels even if, by written agreement of the Parties, such Services are actually performed or dependent upon services performed by (i) Subcontractors, (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft Allianz employees, for whom Supplier is financially or operationally responsible under this Agreement or a Subscription Agreement, or (iii) subject to Section 6.6, Managed Third Parties, to the extent provided in Schedule 16.2.
