Common use of Sufficiency of Purchased Assets Clause in Contracts

Sufficiency of Purchased Assets. The Purchased Assets constitute all of the assets material to Sellers’ conduct of the Business as it is currently conducted as of the date of this Agreement.

Sufficiency of Purchased Assets. (a) The Purchased Assets assets owned, leased or held by the Company (including the Leased Assets) constitute all of the assets material to Sellers’ assets, properties and rights necessary for the conduct of the Business as it is currently conducted as of by the date of this AgreementCompany, in a manner consistent with past practice.

Sufficiency of Purchased Assets. The Purchased Assets constitute all of the assets material to Sellers’ property and assets, real, personal, and mixed, tangible and intangible (including, without limitation, contract rights), that are used or are useful in, or are necessary for the conduct of of, the Business as it is currently conducted as in accordance with present practices, and the Purchased Assets are sufficient for Buyer to continue to operate the Business in the ordinary course of business after the date of this AgreementClosing.

Sufficiency of Purchased Assets. The Purchased Assets constitute all of the property and assets material to Sellers’ (tangible and intangible) used or held for use in the conduct of the Business as it is currently conducted as of the date of this Agreementhereof except for the Excluded Assets and are adequate for Buyer to conduct the Business as it is currently being conducted.

Sufficiency of Purchased Assets. The Purchased Other than the Excluded Assets, the Assets constitute all of the rights, properties and assets material to Sellers’ of every kind, character and description, wherever located and whether tangible or intangible, real or personal, fixed or contingent, that are used by the Sellers and their respective Affiliates in connection with, and necessary for the current conduct of, the Business. The Assets are adequate and sufficient for the conduct of the Business as it is currently conducted as of the date of this Agreementhistorically conducted.

Sufficiency of Purchased Assets. The Purchased Assets constitute all of the material rights, properties and assets material to Sellers’ conduct used in the operation of the Business as it is currently presently conducted and expected to be conducted as of the date of this AgreementClosing.

Sufficiency of Purchased Assets. The Purchased Assets constitute include all of the material property and assets material to Sellers’ (tangible and intangible) used or held for use in the conduct of the Business (other than with respect to the manufacturing and wholesale businesses) as it is currently conducted as of the date hereof, except for the Excluded Assets. None of this Agreementthe Excluded Assets are required in connection with the Buyer’s operation of the Business after the Closing.

Sufficiency of Purchased Assets. The Purchased Assets constitute all of the properties and assets material to Sellers’ conduct of used or held for use in the Business as it is currently conducted as and are sufficient for Purchaser to conduct the Business from and after the Closing Date in the Ordinary Course of the date of this AgreementBusiness.
