Common use of Subcontractors and Agents Clause in Contracts

Subcontractors and Agents. Business Associate will require any of its subcontractors and agents, to which Business Associate is permitted by this Agreement or in writing by Company to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with the same privacy and security obligations as Business Associate with respect to such PHI and, electronic PHI.

Subcontractors and Agents. The Business Associate will shall require any each of its subcontractors and agentsor agents to which the Business Associate provides PHI received from, or created or received by the Business Associate on behalf of the Covered Entity, to which Business Associate is permitted by this Agreement or in writing by Company to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with the same privacy restrictions and security obligations as conditions that apply through this BAA to the Business Associate with respect to such PHI and, electronic PHIinformation.

Business Associate will shall require any each of its subcontractors and agents, or agents to which whom Business Associate is permitted may provide PHI on behalf of the Plan to agree to written contractual provisions that impose at least the same obligations to protect such PHI as are imposed on Business Associate by this Agreement or in writing by Company and the Privacy and Security Regulations. Business Associate shall maintain a list of all subcontractors and agents to disclose PHI and electronic which it provides the Plan's PHI, and it will provide the list to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with the same privacy and security obligations as Business Associate with respect to such PHI and, electronic PHIPlan upon request.

Business Associate will shall require any of its subcontractors and agents, to which Business Associate is permitted by this Agreement or in writing by Company to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such each subcontractor or agent will comply with to whom it may provide PHI or Health Information received from or on behalf of EMS Agency or who otherwise create, receive, maintain, or transmit PHI on behalf of Business Associate to agree to the same privacy restrictions, conditions, and security obligations requirements as to the protection of such PHI as are imposed on Business Associate with respect to such PHI and, electronic PHIby this Addendum.

Business Associate will shall require any of its and all subcontractors and agents, or agents to which whom Business Associate is permitted by this Agreement or in writing by Company provides PHI to disclose PHI and electronic PHI, agree to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with impose at least the same privacy and security obligations to protect such PHI as are imposed on Business Associate with respect to such PHI and, electronic PHIby the Agreement and this Addendum.

Business Associate will agrees to require that any of its subcontractors and agentsor agents to whom it provides PHI received from, to which or created or received by Business Associate is permitted by this Agreement or on behalf of Covered Entity, agree in writing by Company to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with the same privacy restrictions and security obligations as conditions that apply to Business Associate with respect to such information under this Agreement, and to implement reasonable and appropriate safeguards to protect the confidentiality, integrity and availability of PHI andcreated, electronic PHIreceived, transmitted or maintained by Business Associate or such third party in connection with this Agreement.

Business Associate will shall require any each of its subcontractors and agents, or agents to which whom Business Associate is permitted may provide PHI or Health Information received from or on behalf of EMS Agency or who otherwise create, receive, maintain, or transmit PHI on behalf of Business Associate to agree to the same restrictions, conditions and requirements to protect such PHI as are imposed on Business Associate by this Agreement or in writing by Company to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with the same privacy and security obligations as Business Associate with respect to such PHI and, electronic PHIAddendum.

Subcontractors and Agents. Business Associate will require ensure that any agent, including a subcontractor, of its subcontractors and agents, Business Associate to which it provides PHI is bound by a written agreement that contains the same restrictions and conditions on the use and disclosure of the PHI as this Agreement, and Business Associate is permitted by this Agreement or in writing by Company will provide to disclose PHI and electronic PHI, to provide reasonable assurance, evidenced by written contract, that such subcontractor or agent will comply with only the same privacy and security obligations as minimum necessary PHI for the purpose of the covered transaction. Business Associate with respect also will ensure that any such agent of subcontractor agrees to implement reasonable and appropriate safeguards to protect any PHI received by such PHI and, electronic PHIagent or subcontractor.

Business Associate will shall require any each of its subcontractors and agents, or agents to which whom Business Associate is permitted may provide PHI received from, or created or received by this Agreement or in writing by Company Business Associate on behalf of Health Plan to disclose PHI and electronic PHI, agree to provide reasonable assurance, evidenced by written contract, contractual provisions that such subcontractor or agent will comply with impose at least the same privacy and security obligations to protect such PHI as are imposed on Business Associate with respect to such PHI and, electronic PHIby the Contract.

Business Associate will require any require, in writing, each of its subcontractors and agents, agents to which Business Associate is permitted by this Agreement or in writing by Company to disclose PHI and electronic PHI, Disclose Private Information to provide reasonable assurance, evidenced by written contract, assurance that such said subcontractor or agent will comply with the same restrictions and conditions, including any privacy and security obligations as obligations, to which Business Associate is subject with respect to such PHI and, electronic PHIPrivate Information.
