Common use of Strategic Commitment Clause in Contracts

Strategic Commitment. Licensor agrees that during the Term and, in the event of any termination of this Agreement by Licensee under [***] hereof, for a [***] after the effective date of any such termination, it [***] any of its Affiliates to, [***], in any country in the Territory, any [***]. The Parties acknowledge that all restrictions contained in this Section are reasonable, valid and necessary for the adequate protection of the business associated with the Licensed Product.
