The Research Fees clause defines the costs associated with conducting research activities under an agreement. Research Fees. Licensee shall pay to SGI the following amounts in consideration of the Research Program:
6.1.1 Within ten (10) business days of the Effective Date, Licensee shall pay to SGI the sum of Two Million U.S. Dollars ($2,000,000) by wire transfer of immediately available funds (the “ADC Access Fee”).
6.1.2 Licensee shall pay SGI at an annual rate of [***] per FTE who provides assistance as requested by Licensee pursuant to this Agreement in each of the first [***] of the Term (the “FTE Fees”). Commencing upon the [***] of the Effective Date (the “[***]”) and [***] Confidential treatment has been requested with respect to the omitted portions. upon [***] thereafter, the FTE Fees will [***] by [***] per FTE per year; provided, that, notwithstanding the foregoing, the Parties hereby agree that Licensee shall pay no consideration to SGI in connection with any preparation of ADCs or related characterization work performed by SGI under the Initial Agreements. Licensee shall also pay SGI for all Drug Conjugation Materials supplied by SGI to Licensee hereunder at the rate of [***] of SGI’s Cost of Goods therefor (the “Supply Fees”). The FTE Fees and the Supply Fees are collectively referred to herein as (the “Research Fees”). Within [***] after the end of each [***], SGI shall submit a report to Licensee supporting the calculation of the Research Fees due for such [***] (a “Research Fees Report”). Licensee shall pay all Research Fees to SGI within [***] of receipt of each Research Fees Report.
Research Fees. Licensee shall pay to Licensor the following amounts in consideration of the Research Program:
6.1.1 Licensor acknowledges that Licensee has paid to Licensor the sum of [***] by wire transfer of immediately available funds pursuant to [***] by and between Licensee and Licensor, for the purposes and on the terms and conditions described therein (the “ADC Access Fee”).
6.1.2 Licensee shall pay Licensor at an annual rate of [***] per FTE for research work as requested by Licensee and actually performed by Licensor pursuant to the Research Plan or as provided in this Agreement in each of the [***] of the Term (the “FTE Fees”). Commencing upon the [***] of the Effective Date (the “[***]”) and upon every [***] thereafter, the rate applicable to calculating the FTE Fees will [***] by [***] per FTE. Licensee shall also pay Licensor for all Drug Conjugation Materials supplied by Licensor to Licensee hereunder at the rate of [***] of Licensor’s Cost of Goods therefor (the “Supply Fees”); provided, however, that such Supply Fees for [***] shall not exceed [***] per milligram. The FTE Fees and the Supply Fees are collectively referred to herein as the “Research Fees”. Within [***] after the end of each [***], Licensor shall submit a report to Licensee in form and substance satisfactory to Licensee and accompanied by such documentation and verification as Licensee may reasonably request supporting the calculation of the Research Fees due for such [***] (a “Research Fees Report”). Licensee shall pay all Research Fees to Licensor within [***] of receipt of each Research Fees Report.
Research Fees. Merck will pay Mersana at the annual fully loaded FTE Rate, for each FTE who performs Development, consultation or support work under the applicable Research Plan or this Agreement (including pursuant to Section 4.3.1, Section 4.3.3, and Section 5.1.2), which FTE Rate shall include the cost of routine lab supplies and materials used by such FTEs in such Development, consultation or support work (the “FTE Fees”). Merck shall also pay Mersana for all non-routine supplies and materials used by Mersana in the performance of activities under the applicable Research Plan and amounts paid to Third Parties (including consultants, vendors and suppliers) performing activities on behalf of Mersana under the Research Plan (including out-of-pocket costs pursuant to Section 4.3.1, Section 4.3.3, and Section 5.1.2), in each case, at the actual and verifiable out-of-pocket costs to Mersana therefor (the “Supply Fees”); provided that any such Supply Fees are included in the budget that is included within the applicable Research Plan approved pursuant to Section 2.5.2.2(b). The FTE Fees and the Supply Fees are collectively referred to herein as the “Research Fees.”
Research Fees. Adesto shall timely pay to Axon all Research Fees described as such in EXHIBIT A (“FEES”);
Research Fees. At Payment World’s sole discretion, You may also be charged a Chargeback Research Fee of fifty dollars ($50.00) per chargeback. Payment World reserves the right to charge for and collect said fees up to and including termination of the Agreement.
Research Fees. On the Effective Date Glaxo will pay MEGABIOS[ * ]and ------------- on the first days of July and October in 1994, and on the first days of January, April, July and October of up to and including October 1, 1998, Glaxo will pay MEGABIOS[ * ] for research to be conducted by MEGABIOS under Section 2.1.

Research Fees. (a) Within thirty (30) days after the Effective Date Roche will pay to SGX a non-refundable, non-creditable upfront fee of $[...***...].
(b) During the Term of the Collaboration, Roche will pay to SGX research payments of $[...***...] per calendar quarter, payable on the first day of each calendar quarter, commencing on the Effective Date.
Research Fees.
