Common use of Stock of Subsidiaries, Etc Clause in Contracts

Stock of Subsidiaries, Etc. Sell or otherwise dispose of any shares of capital stock or other equity interest of any Subsidiary, except in connection with a transaction permitted under SECTION 7.03, or permit any Subsidiary to issue any additional shares of its capital stock or other equity interests, except (a) directors' qualifying shares and (b) the issuance of shares by any Subsidiary to any Borrower, PROVIDED that such Borrower shall forthwith deliver to the Agent pursuant to the applicable Security Documents the certificates evidencing such shares of stock or other equity interests, accompanied by undated stock powers executed in blank and shall take such other action as the Agent shall request to create a valid and enforceable First Priority Lien on such shares pursuant to such Security Documents.
