Status of Non-Voting Shares after Closing. The Non-Voting Shares exchanged for the Exchange Shares pursuant to this Article II are being reacquired by the Company and shall have the status of authorized but unissued shares of non-voting common stock, par value $0.01 per share, of the Company undesignated as to series and may be reissued as non-voting common stock, par value $0.01 per share, of the Company.
