Common use of Speculative Nature and Risk Clause in Contracts

Purchaser represents and warrants that the Shares constitute an investment which is suitable and consistent with Purchaser's financial condition and that Purchaser is able to bear the risks of this investment for an indefinite period of time, which may include the total loss of Purchaser's investment in the Shares. Purchaser further represents that (a) Purchaser has adequate means of providing for Purchaser's current financial needs and contingencies, (b) there is no need for liquidity in Purchaser's investment in the Shares, and (c) Purchaser has sufficient financial and business experience to evaluate the merits and risks of an investment in the Shares.
