Source Code and Documentation. Service Provider shall, promptly as it is developed by Service Provider, provide DIR with the source code, if any, and object code and documentation for all Developed Materials owned by DIR pursuant to Section 14.2(a). Such source code and technical documentation shall be sufficient to allow a reasonably knowledgeable and experienced programmer to maintain and support such Materials. The user documentation for such Materials shall accurately describe in terms understandable by a typical Authorized User the functions and features of such Materials and the procedures for exercising such functions and features.
Source Code and Documentation. If either Party requests that the source code for particular Materials be placed in escrow for the benefit of the requesting Party, then the Parties shall cooperate in good faith to establish such source code escrow arrangements on terms and conditions that shall be reasonably acceptable to both Parties.

Vendor acknowledges and agrees that it or Vendor Contractors shall deliver and provide to the State all Source Code and Documentation related to any Software or other Deliverables that are created, developed, produced, delivered, performed or provided by or on behalf of, or made available through, Vendor, Vendor Contractors, or Vendor Personnel, directly or indirectly, hereunder, unless otherwise agreed to in writing by the State.

In each case, such source code shall be sufficient to allow a reasonably knowledgeable and experienced programmer to maintain and support such Developed Materials; and the user documentation for such Developed Materials shall accurately describe in terms understandable by a typical end user the functions and features of such Developed Materials and the procedures for exercising such functions and features.

In the event Supplier becomes insolvent, ceases to carry on business on a regular basis or fails to perform its maintenance obligations herein, Supplier shall immediately furnish to Purchaser the latest version of the Product source code, operating and design documentation, training material and any other necessary information to enable Purchaser to maintain and enhance such Product or to contract with others for such work.

CSC shall, upon Sears’ request, provide Sears with the source code and documentation for all Deliverables that are Software, on media and in a format reasonably requested by Sears.
