Source Code and Documentation Clause Samples

The 'Source Code and Documentation' clause defines the obligations and rights regarding the provision, use, and ownership of source code and related documentation in a contractual relationship. Typically, this clause specifies whether the source code must be delivered alongside the software, outlines the format and completeness of documentation to be provided, and may address updates or maintenance materials. Its core practical function is to ensure that the receiving party has sufficient technical information to use, maintain, or modify the software, thereby reducing dependency on the original developer and clarifying intellectual property boundaries.
