Common use of Sophisticated Person Clause in Contracts

Sophisticated Person. Post is a sophisticated seller with respect -------------------- to the Notes to be exchanged hereunder and Post has adequate information concerning the business and financial condition of the Company to make an informed decision regarding the Exchange. Post has independently made its own analysis and decision to enter into this agreement based on such information as Post has deemed appropriate.
