Common use of Solvency Opinion Clause in Contracts

Solvency Opinion. Seller and Seller Partnership shall have received an opinion, by a nationally recognized firm selected by Parent and reasonably acceptable to Seller, in a customary form for transactions of this type as to the solvency and adequate capitalization of the Seller and Seller Partnership immediately before and of the Surviving Company and the Surviving Operating Partnership immediately after giving effect to the Transactions, which opinion shall be reasonably satisfactory to Seller.
