Solvency Opinion. The Administrative Agent shall have received a solvency opinion in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Administrative Agent to the effect that each of (a) Holdings, the Borrower and the Subsidiary Guarantors, on a consolidated basis, and (b) the Borrower and the Subsidiary Guarantors, on a consolidated basis, in each case after giving effect to the Recapitalization Transactions, are solvent;
Solvency Opinion. The Administrative Agent shall have received a satisfactory solvency opinion from Duff & Xxxxxx LLC that shall document the solvency of the Borrower and its Subsidiaries after giving effect to the financing contemplated hereby and the issuance of the Senior Unsecured Notes.
Solvency Opinion. The Agent, on behalf of itself, the arrangers of the Tranche D Term Loans, the Lenders and the Issuing Bank, shall have received a solvency opinion in form and substance and from an independent investment bank or valuation firm reasonably satisfactory to the Agent to the effect that Holdings and its Subsidiaries, on a consolidated basis after giving effect to the Second Restatement Transactions, are solvent. The Agent shall notify the Borrower and the Lenders of the Second Restatement Date, and such notice shall be conclusive and binding.
Solvency Opinion. The Seller shall have received a Solvency Opinion dated as of the Closing from an Independent Valuation Firm to the effect that the Seller will be Solvent as of the Closing and immediately after giving effect to the distribution by the Seller to the Seller’s shareholders of the Purchaser Shares comprising the Consideration;
Solvency Opinion. The Purchasers and the Collateral Agent shall have received a copy of an opinion dated as of the date hereof, from Valuation Research Company rendered to the Finance Committee of the Board of Directors of Parent Issuer, in form, scope and substance satisfactory to the Purchasers and the Collateral Agent, with appropriate attachments, demonstrating that after giving effect to the consummation of the Transactions, Parent Issuer and the Company, each individually, and Parent Issuer and its Subsidiaries, taken as a whole on a consolidated basis, are, and will be Solvent.
Solvency Opinion. The Administrative Agent shall have received a solvency opinion from Corporate Valuation Advisors, Inc.
Solvency Opinion. Seller and Seller Partnership shall have received an opinion, by a nationally recognized firm selected by Parent and reasonably acceptable to Seller, in a customary form for transactions of this type as to the solvency and adequate capitalization of the Seller and Seller Partnership immediately before and of the Surviving Company and the Surviving Operating Partnership immediately after giving effect to the Transactions, which opinion shall be reasonably satisfactory to Seller.
Solvency Opinion. The Lenders shall have received a satisfactory solvency opinion from an independent valuation firm satisfactory to the Syndication Agent which shall document the solvency of the Borrower and its subsidiaries taken as a whole after giving effect to the Closing Date and after giving effect to the Tender Offer Purchase and the financings and related transactions contemplated hereby.
Solvency Opinion. If any of the providers of the Debt and Preferred Equity Financing require the delivery of a solvency opinion from an independent valuation firm at the Closing, Merger Sub shall cause such solvency opinion to also be delivered to the Special Committee.
Solvency Opinion. Receipt by the Agents of an opinion from an independent auditor or appraiser acceptable to the Agents as to the solvency of the Credit Parties and their Subsidiaries on a consolidated basis after giving effect to the Transaction.
