Common use of Solicitation and Hiring Clause in Contracts

Solicitation and Hiring. Except as expressly set forth herein, during the Term and for a period of twelve (12) months thereafter, Supplier will not solicit for employment directly or indirectly, nor employ, any employees of ABM or an Eligible Recipient without the prior approval of ABM. Except as expressly set forth herein in connection with the expiration or termination of this Agreement, during the Term and for a period of twelve (12) months thereafter, ABM will not solicit for employment directly or indirectly, nor employ, any employee of Supplier involved in the performance of Supplier’s obligations under this Agreement without the prior consent of Supplier. In each case, the prohibition on solicitation and hiring shall extend ninety (90) days after the termination of the employee’s employment or, in the case of Supplier employees, the cessation of his or her involvement in the performance of Services under this Agreement. This provision shall not operate or be construed to prevent or limit any employee’s right to practice his or her profession or to utilize his or her skills for another employer or to restrict any employee’s freedom of movement or association.

Except as expressly set forth herein in connection with the expiration or termination of this Agreement, during the Term and for a period of twelve (12) months thereafter, ABM Oncor will not neither solicit for employment directly or indirectly, nor employ, any employee of Supplier Vendor involved in the performance of Supplier’s Vendor's obligations under this Agreement without the prior consent of SupplierVendor. In each case, the prohibition on solicitation and hiring shall extend ninety (90) days after the termination of the employee’s 's employment or, in the case of Supplier Vendor employees, the cessation of his or her involvement in the performance of Services under this AgreementServices.
