Common use of Solicitation and Hiring Clause in Contracts

Solicitation and Hiring. For a period of one (1) year after the Closing Date, the Seller shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any Restricted Employee to terminate his employment with the Buyer or any subsidiary of the Buyer or (b) hire or attempt to hire any Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Buyer or a subsidiary of the Buyer has been terminated for a period of six months or longer. The Seller shall enforce, for the benefit of the Buyer, all confidentiality, non-solicitation and non-hiring assignments and similar agreements between the Seller and any other party which are not Assigned Contracts.

For a period of one (1) year four years after the Closing Date, the Seller shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any Restricted Employee to terminate his employment with the Buyer or any subsidiary of the Buyer or (b) hire or attempt to hire any Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Buyer or a subsidiary of the Buyer has been terminated for a period of six months one year or longer. The Seller shall enforce, for the benefit of the Buyer, all applicable confidentiality, non-solicitation and non-hiring assignments and similar agreements between the Seller and any other party which of Xxxxxx Xxxxxx, Xxx Xxxxx or Xxxxxxx Xxxxxxx, to the extent any such agreements are not Assigned Contracts.

For a period of one (1) year 3 years after the Closing Date, the Seller Members shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any Restricted Employee to terminate his employment with the Buyer or any subsidiary Subsidiary of the Buyer or (b) hire or attempt to hire any Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Buyer or a subsidiary Subsidiary of the Buyer has been terminated for a period of six months or longer. The Seller shall enforce, for the benefit of the Buyer, all confidentiality, non-solicitation and non-hiring assignments and similar agreements between the Seller and any other party which are not Assigned Contracts.

For a period of one two (12) year years after the Closing Date, the Seller shall notneither Party shall, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any Restricted Employee to terminate his or her employment with the Buyer other Party or any subsidiary of the Buyer such Party or (b) hire or attempt to hire any Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Buyer such other Party or a subsidiary of the Buyer such other Party has been terminated for a period of six months or longer. The Seller Sellers shall enforce, for the benefit of the Buyer (at the expense of the Buyer), all confidentiality, non-solicitation and non-hiring assignments and similar agreements between the any Seller and any other party which Person that are not Assigned Contracts.
