Common use of Sole Purpose of the Operator Clause in Contracts

Sole Purpose of the Operator. The Operator has been set up for the sole purpose of exercising the rights and observing and performing its obligations and liabilities under this Agreement, i.e., the implementation, operation and maintenance of the Project. The Operator, being an SPV formed for the sole purpose of implementing the Project, hereby agrees not to have any shareholding interest or otherwise in any entity, or any other form of arrangement with any person, which may allow it to undertake or perform any other business activity. The Operator hereby agrees not to have any subsidiary, except with the previous written consent of the Authority, or be or become directly or indirectly engaged, concerned or interested in any business in relation to this Project.
