Shares Validly Issued. The Acquirer has authorized 200,000,000 shares of Common Stock and 50,000,000 shares of preferred stock. The Shares, when issued, will have been duly and validly authorized and issued, free of any preemptive or similar rights, and fully paid and nonassessable.
Shares Validly Issued. When issued in compliance with the provisions of this ------------------------- Agreement, the Shares will be validly issued, fully paid and nonassessable, and will be free of any liens or encumbrances; provided, however, that the Shares may be subject to restrictions on transfer under state and/or federal securities laws as set forth herein or as otherwise required by such laws at the time a transfer is proposed.
Shares Validly Issued. When issued in compliance with the provisions of this Agreement, the Shares (as defined in Exhibit B) will be validly issued, fully paid and nonassessable, and will be free of any liens or encumbrances; provided, however, that the Shares (as defined in Exhibit B) may be subject to restrictions on transfer under state and/or federal securities laws as set forth herein or as otherwise required by such laws at the time a transfer is proposed.

When issued in compliance with the provisions of this Agreement, the Consideration Shares will be validly issued, fully paid and nonassessable, and will be free of any liens or encumbrances; provided, however, that the Consideration Shares may be subject to restrictions on transfer under state and/or federal securities laws as set forth herein or as otherwise required by such laws.
Shares Validly Issued. With respect to the Sinovac Shares ----------------------- issued to her the Sinovac Shares have been validly issued to the Shareholder and are fully paid, fully vested, non-assessable and not issued in violation of the pre-emptive or other rights of any person.
Shares Validly Issued. All of the Pledged Shares have been duly authorized and validly issued and are fully paid and non-assessable.
Shares Validly Issued. All of the issued and outstanding Shares have been duly and validly issued by the respective Corporations, and they are fully paid and nonassessable.
Shares Validly Issued. The shares of common stock of the Company to be issued under this Agreement, when issued, sold, and delivered in accordance with the terms of this Agreement, will be duly and validly issued, fully paid, and nonassessable and will be free of restrictions on transfer other than restrictions on transfer under applicable state and federal securities laws.
Shares Validly Issued. The Shares have been, or prior to the Closing Time will be, duly and validly authorized for issuance and sale pursuant to this Agreement and when issued and delivered by the Corporation pursuant to this Agreement, against payment of the consideration therefor, will be validly issued as fully paid and non-assessable Subordinated Voting Shares.
Shares Validly Issued. On issuance pursuant to the terms hereof, the --------------------- Shares will be duly authorized and validly issued, fully paid and nonassessable, free of any preemptive or other similar rights to subscribe for or to purchase any shares of capital stock of the Company.
