Share Increase. (a) No later than June 30, 2008, the Company shall deliver to the Agent evidence of the filing of a Proxy Statement with respect to an increase in the Company’s authorized common stock to an aggregate amount of not less than 250,000,000. (b) No later than August 15, 2008, the Company shall deliver to the Agent evidence that the Company's Certificate of Incorporation has been amended to increase the authorized Common Stock to an aggregate amount of not less than 250,000,000.
