Common use of Services Managers Clause in Contracts

Services Managers. (a) Agilent hereby appoints and designates the individual holding the Agilent position set forth on Exhibit I to act as its initial services manager (the “Agilent Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Agilent Services and have authority to act on Agilent’s behalf with respect to matters relating to the provision of Services under this Agreement. The Agilent Services Manager will work with the personnel of the Agilent Group to periodically address issues and matters raised by the Keysight Group relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 8.07, all communications from Keysight to Agilent pursuant to this Agreement regarding routine matters involving a Service shall be made through the Agilent Services Manager or such other individual as may be specified by the Agilent Services Manager in accordance with Section 8.07 (such other individual, the “Agilent Local Service Manager”). Agilent shall notify Keysight of the appointment of a different Agilent Services Manager or Agilent Local Service Manager(s), if necessary, in accordance with Section 8.07. (b) Keysight hereby appoints and designates the individual holding the Keysight position set forth on Exhibit I to act as its initial services manager (the “Keysight Services Manager”), who will be directly responsible for coordinating and managing the delivery of the Keysight Services and have authority to act on Keysight’s behalf with respect to matters relating to the provision of Services under this Agreement. The Keysight Services Manager will work with the personnel of the Keysight Group to periodically address issues and matters raised by the Agilent Group relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 8.07, all communications from Agilent to Keysight pursuant to this Agreement regarding routine matters involving a Service shall be made through the Keysight Services Manager or such other individual as may be specified by the Keysight Services Manager in accordance with Section 8.07 (such other individual, the “Keysight Local Service Manager”). Keysight shall notify Agilent of the appointment of a different Keysight Services Manager or Keysight Local Service Manager(s), if necessary, in accordance with Section 8.07.

(a) Agilent Navient hereby appoints and designates the individual holding the Agilent position individuals set forth on Exhibit I to act as its the initial services manager managers for the corresponding Services Schedules on Exhibit I (the each, a “Agilent Navient Services Manager”), who each of whom will be directly responsible for coordinating and managing the delivery of the Agilent Navient Services under the applicable Service Schedule and have authority to act on AgilentNavient’s behalf with respect to matters relating to the provision of the identified Services under this Agreement. The Agilent Each Navient Services Manager will report to the Navient Program Manager and will work with the personnel of the Agilent Navient Group to periodically address issues and matters raised by the Keysight Group SLM BankCo relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 8.07, all communications from Keysight to Agilent pursuant to this Agreement regarding routine matters involving a Service shall be made through the Agilent Services Manager or such other individual as may be specified by the Agilent Services Manager in accordance with Section 8.07 (such other individual, the “Agilent Local Service Manager”). Agilent Navient shall notify Keysight SLM BankCo of the appointment of a different Agilent Navient Services Manager or Agilent Local Service Manager(s)Manager, if necessary, in accordance with Section 8.078.06. (b) Keysight SLM BankCo hereby appoints and designates the individual holding the Keysight position individuals set forth on Exhibit I to act as its the initial services manager managers for the corresponding Services Schedules on Exhibit I (the each, a “Keysight SLM BankCo Services Manager”), who each of whom will be directly responsible for coordinating and managing the delivery of the Keysight SLM BankCo Services under the applicable Services Schedule and have authority to act on KeysightSLM BankCo’s behalf with respect to matters relating to the provision of the identified Services under this Agreement. The Keysight Each SLM BankCo Services Manager will report to the SLM BankCo Program Manager and will work with the personnel of the Keysight SLM BankCo Group to periodically address issues and matters raised by the Agilent Group Navient relating to the provision of Services under this Agreement. Notwithstanding the requirements of Section 8.07, all communications from Agilent to Keysight pursuant to this Agreement regarding routine matters involving a Service shall be made through the Keysight Services Manager or such other individual as may be specified by the Keysight Services Manager in accordance with Section 8.07 (such other individual, the “Keysight Local Service Manager”). Keysight SLM BankCo shall notify Agilent Navient of the appointment of a different Keysight SLM BankCo Services Manager or Keysight Local Service Manager(s)Manager, if necessary, in accordance with Section 8.078.06.
