Common use of Services License Clause in Contracts

Services License. Upon payment of fees and subject to continuous compliance with this Agreement, Radiobotics hereby grants Customer a limited, nonexclusive, non-transferable license to access, use, and install (if applicable) the Services, Software, and Documentation during the Term (defined below). The Services will be performed by means of SaaS (Software as a Service), whereby the applicable patient data and scans (collectively, “Studies”) will be analysed by the Supplier Software. Customer may provide, make available to, or permit your users to use or access the Services, the Software, in whole or in part. During the Term (as defined herein), Radiobotics may update or modify the Services or Software or provide alternative Services or Software to reflect changes in, among other things, laws, regulations, rules, technology, industry practices, patterns of system use, and availability of a third- party program. Radiobotics’ updates or modifications to the Services or Software or provisions of alternative Services or Software will not materially reduce the level of performance, functionality, security, or availability of the Services or Software during the Term. Customer acknowledges and agrees that the allocation of the Server and the secure remote access of the Supplier to the Server are conditions precedent to the provision of the Services and Customer will be responsible for the operation and maintenance of the Server (and any related costs) including the remote access of Supplier if necessary.
