Services Evolution. Throughout the Service Module Terms (including any extensions or renewals, if applicable), State Street will seek to improve the quality, efficiency and effectiveness of the Services to keep pace with technological advances and support the evolving business needs and efforts of each BTC Recipient to maintain competitiveness in the markets in which such BTC Recipient competes. State Street will do this by: (i) discussing with the BTC Recipients “best practice” techniques and methods in providing the Services; (ii) applying such techniques to the Services to the extent practicable and consistent with State Street’s overall servicing strategy; (iii) maintaining a reasonable training program for State Street Personnel in new techniques and technologies that are used generally within State Street’s organization or first class international financial services providers of asset processing and related services and that the applicable BTC Recipient approves for use in rendering the Services; (iv) developing in conjunction with the applicable BTC Recipient a training program designed to train State Street Personnel and applicable Subcontractors in new techniques and technologies used by the BTC Recipients or used generally at first class international financial services providers of asset processing and related services; and (v) making investments that State Street reasonably believes is necessary to maintain the currency of the tools, Master Services Agreement 6 BTC | State Street CONFIDENTIAL infrastructure and other resources State Street uses to render the Services. Upon request from any BTC Recipient, State Street will provide to such BTC Recipient any service that State Street is providing to another of its customers, subject to mutual agreement on equitable pricing and other terms for such services and applicable third-party restrictions.

Services Evolution. Throughout the Term (including any Extension Period or Renewal Term, if applicable), Provider will seek to improve the quality, efficiency and effectiveness of the Services to keep pace with technological advances and support the evolving business needs and efforts of each BFA Recipient to maintain competitiveness in the markets in which such BFA Recipient competes. Provider will do this by: (i) discussing with the BFA Recipients “best practice” techniques and methods in providing the Services; (ii) applying such techniques to the Services to the extent practicable and consistent with Provider’s overall servicing strategy; (iii) maintaining a reasonable training program for Provider Personnel in relevant new techniques and technologies that are used generally within Provider’s organization or first class international financial services providers of asset processing and related services; (iv) developing in conjunction with the applicable BFA Recipient a training program designed to train Provider Personnel and applicable Subcontractors in relevant new techniques and technologies used by the BFA Recipients or used generally at first class international financial services providers of asset processing and related services; and (v) making investments that Provider reasonably believes are necessary to maintain the currency of the tools, infrastructure and other resources Provider uses to render the Services. Upon request from any BFA Recipient, Provider will provide to such BFA Recipient any service that Provider is providing to another of its customers, subject to mutual agreement on equitable pricing and other terms for such services and applicable third party restrictions.
Services Evolution. (a) Vendor and ACI shall cause the Services to evolve and to be modified, enhanced, supplemented and replaced as necessary for the Services to keep pace with technological advances and advances in the methods of delivering services, where such advances are at the time in general use within the IT outsourcing services industry, as applicable, or otherwise among ACI’s competitors, including as practices evolve to comply with new or modified Applicable Laws. Such evolution shall, at a minimum, be made so as to cause the Services to conform with the requirements for continuous improvement of Service Levels as set forth in Schedule B (Service Levels). As an example, Services evolution shall include the addition of functionality by Vendor as is made possible with new Equipment and Software utilized by Vendor during the Term. Adjustments in Services in accordance with this Section 3.3 shall be deemed to be included within the scope of the Services to the same extent and in the same manner as if expressly described in this Agreement. Notwithstanding anything to the contrary in this Section 3.3, the foregoing statement is not intended to enlarge Vendor’s obligations where evolutions in technology are specified in this Agreement (e.g., standards, configurations and Service Levels). To the extent necessary and appropriate, the Parties shall equitably modify and adjust the Resource Units to be measured and the Baselines associated with such Resource Units to be consistent with such evolution in technology. Confidential Master Services Agreement Execution Copy Adjustments to the Services under this Section may also constitute New Services. Adjustments to the Services pursuant to this subparagraph shall be at no charge (unless they are New Services) and are subject to the technical change control procedure set forth in the Procedures Manual.
Services Evolution. The Parties anticipate that the Services may evolve over time. The Parties will work together in good faith, through the Service Management Team, to discuss any such evolution of the Services, including possible advancements and improvements in the methods of delivering the Services. If the Parties agree to supplement, modify, enhance or replace Services, their agreement shall be documented in accordance with the provisions of Section 3.1(e) or (f) or Section 3.2 (as applicable).
Services Evolution. (i) Acxiom shall cause the portion of the Services provided by *** to evolve and to be modified, enhanced, supplemented and replaced as necessary for such Services to keep pace with technological advances and advances in the methods of delivering services, where such advances are at the time pertinent for such Services to keep pace with the general use within the IT industry or among D&B’s customers or competitors. As an example, Services evolution shall include addition of *** Omitted pursuant to a request for confidential treatment and filed separately with the Securities and Exchange Commission. D&B/Acxiom Confidential Information -16- functionality by Acxiom as this is made possible with new Equipment and Software utilized by Acxiom during the Term. Adjustments in Services in accordance with this Section 3.1(c) shall be deemed to be included within the scope of the Services to the same extent and in the same manner as if expressly described in this Agreement.
Services Evolution. Throughout the Term, IBM will (A) seek to improve the quality, efficiency and effectiveness of the Services to keep pace with advances or improvements in business processes, methodologies, techniques, Systems or technologies generally used within the F&A Outsourcing Services industry and (B) support Federal-Mogul’s efforts to maintain its competitiveness in the markets in which it competes. Accordingly, IBM will (1) identify and apply Best Practice business processes, methodologies, techniques, Systems or technologies in performing and providing the Services, including those that are used generally within IBM’s organization, Federal-Mogul’s organization or the F&A Outsourcing Services industry, and (2) make commercially reasonable investments to maintain the currency of the business processes, methodologies, techniques, Systems or technologies and other resources used by IBM to provide the Services. Federal-Mogul shall have the right to approve the implementation of any such business processes, methodologies, techniques, Systems or technologies to the extent the implementation of such business processes, methodologies, techniques, Systems or technologies will result in a Change.

For further clarification, the Parties acknowledge that, from time to time, Vendor may make modifications to its shared services centers for the benefit of a number of customers including Phoenix as a part of Vendor’s normal course of business, including modifications that are necessary to comply with new or modified Applicable Laws. As such modifications are made by Vendor, although Phoenix would enjoy the benefit of the specific modifications at no additional charge, there may be some planning and testing that needs to occur for the Phoenix information technology environment which may result in some additional internal costs to Phoenix. Vendor will give Phoenix thirty (30) days advance written notice if Vendor intends to make such modifications and shall advise Phoenix in such notice what internal planning and testing it believes Phoenix will have to perform in connection with EDS’s implementation of such modifications. If Phoenix believes that the internal costs to Phoenix are unreasonably large under the circumstances, the Parties will discuss the proposed modification prior to its implementation to determine how and when the modification should be made.
