Series Documents Clause Samples
The 'Series Documents' clause defines and identifies the set of documents that collectively govern a particular series of securities or investments. Typically, this clause lists or references all agreements, certificates, and ancillary documents that are relevant to the specific series, ensuring that all parties are aware of the governing instruments. By clearly delineating which documents apply to the series, this clause helps prevent confusion or disputes over which terms and conditions are in effect, thereby ensuring clarity and consistency in the administration of the series.
Series Documents. The Series Documents shall be in full force and effect and, at the time of such Advance, all conditions to the issuance of the Series 2010-3 Notes and any Increases under the Series 2010-3 Supplement and under Section 2.2 of the Base Indenture shall have been satisfied.
Series Documents. The Series is responsible for preparing and providing the following “Series Documents,” as specified in paragraph (b)(l) of Rule 30e-3 and paragraph (j)(l)(iii) of Rule 498A:
(i) Summary Prospectus for the Portfolios;
(ii) Statutory Prospectus for the Portfolios;
(iii) Statement of Additional Information (“SAI’’) for the Portfolios;
Series Documents. The Authority, the Trustee and the Tender Agent shall not amend, modify, substitute or terminate, or permit the amendment, modification, substitution or termination of, or consent to, or permit or suffer to occur any action or omission which results in, or is equivalent to, an amendment, modification, substitution or termination of any of the Series Documents (excluding the Remarketing Agreement) without the express written consent of the Bank, except as contemplated by this Agreement, the Tender Agent Agreement or the Supplemental Resolution, without having first obtained the express written approval of the Bank as to the form and substance of such Series Documents. The Authority shall provide to the Bank executed copies of any such amendments, promptly after the adoption thereof.
