Common use of Security System Clause in Contracts

Security System. Tenant shall have the right, at Tenant’s sole cost and expense, to install a separate security system for the Premises (“Security System”), provided that any such Security System shall be subject to Landlord’s reasonable prior review and approval of the plans and specifications for such Security System. Tenant shall coordinate the installation and operation of Tenant’s Security System with Landlord to assure that Tenant’s Security System is compatible with Landlord’s security system and the Building’s systems and equipment and to the extent that Tenant’s Security System is not compatible with Landlord’s security system and the Building systems equipment, Tenant shall not be entitled to install or operate said Security System. Tenant shall monitor, keep and maintain the Security System in good working order, condition and repair throughout the Term. The installation, maintenance, use and operation of the Security System shall comply with all applicable governmental laws, rules, regulations and ordinances and the terms of the Lease. Tenant shall provide Landlord with key cards or access codes, as applicable to permit Landlord access to the Premises at all times. Tenant acknowledges and agrees that the Tenant’s use of the Security System and the installation, operation, maintenance and use thereof shall be at Tenant’s sole risk and Landlord shall have no liability whatsoever in connection therewith. Tenant hereby waives any and all claims against Landlord for any damages arising from Tenant’s exercise of its rights under this Section. At the Expiration Date or earlier termination of the Lease, Tenant shall, at Landlord’s option, remove the Security System, at Tenant’s cost, in accordance with the terms of Sections 8 and 15 of the Lease.

Security System. Landlord hereby agrees that Tenant shall have the right, at Tenant’s sole cost and expense, to install or utilize its own security measures (such as a separate security system for the Premises system, card-key system, and a remotely monitored camera security system) within (but not outside) any portions of its Building, so long as such systems and services are compatible with Building systems and reasonably approved by Landlord (“Tenant’s Security System”), provided that any such . Tenant’s Security System shall be subject to Landlord’s reasonable prior review and approval (not to be unreasonably withheld, conditioned or delayed), and the installation thereof shall be deemed an Alteration and shall be performed pursuant to Article 8 of the plans and specifications for such Security Systemthis Lease, below. In addition, Tenant shall coordinate the selection, installation and operation of Tenant’s Security System with Landlord in order to assure ensure that Tenant’s Security System is compatible with Landlord’s Building security system and the Building’s systems and equipment equipment, and to the extent that Tenant’s Security System is not compatible with Landlord’s security system and the Building systems and equipment, Tenant shall not be entitled to install or and/or operate said Tenant’s Security System. Tenant shall monitorbe solely responsible, keep and maintain the Security System in good working order, condition and repair throughout the Term. The installation, maintenance, use and operation of the Security System shall comply with all applicable governmental laws, rules, regulations and ordinances and the terms of the Lease. Tenant shall provide Landlord with key cards or access codes, as applicable to permit Landlord access to the Premises at all times. Tenant acknowledges and agrees that the Tenant’s use of the Security System and the installation, operation, maintenance and use thereof shall be at Tenant’s sole risk cost and Landlord shall have no liability whatsoever in connection therewith. Tenant hereby waives any expense, for the installation, monitoring, operation and all claims against Landlord for any damages arising from removal of Tenant’s exercise of its rights under this SectionSecurity System. At On the Expiration Date expiration or earlier termination of the this Lease, Tenant shall, at Landlord’s option, shall remove the Security System, security system and restore the Premises to the condition existing prior to the installation of that system at Tenant’s cost, in accordance with the terms of Sections 8 sole cost and 15 of the Leaseexpense.

Tenant hereby waives any and all claims against Landlord for any damages arising from Tenant’s 's exercise of its rights under this Section. Furthermore, Tenant agrees to indemnify, defend and hold Landlord harmless from and against any and all damages, losses, claims, liabilities, costs and expenses (including, but not limited to, reasonable attorneys' and other professional fees), actions or causes of action, or judgments arising in any manner from Tenant's installation, operation, use and maintenance of the Security System. At the Expiration Date expiration or earlier termination of the Lease, Tenant shall, at Landlord’s 's option, remove the Security System, at Tenant’s cost, in accordance with System from the terms of Sections 8 Premises and 15 restore the Premises to the condition which existed prior to the installation of the LeaseSecurity System.

Security System. Landlord may elect in its sole discretion to provide certain security measures it feels appropriate to try to keep the Project, or applicable parts thereof, safe and secure, and the cost incurred by Landlord in providing, or causing to be provided, such security measures shall be Operating Expenses. The level of security service, if any, that Landlord may elect to provide, or cause to be provided, is in Landlord’s sole discretion. Tenant hereby acknowledges that Landlord shall have no obligation to provide guard service or other security measures for the benefit of the Premises, the Building or the Project. Tenant hereby assumes all responsibility for the protection of Tenant and its agents, employees, contractors, invitees and guests, and the property thereof, from acts of third parties, including keeping doors locked and other means of entry to the Premises closed. Pursuant to all of the terms and conditions of Paragraphs 13 and 17 hereof, Landlord and Tenant acknowledge and agree that Tenant may, at Tenant’s costs and expense, install and manage its own integrated security system in the Premises (the “Tenant Security System”); provided, however, that Tenant shall have coordinate the rightinstallation and operation of any such Tenant Security System with Landlord to assure that such Tenant Security System does not interfere with (i) any Landlord security system in place as of the Delivery Date, and (ii) the Building Systems serving the Building and/or Premises and equipment, provided that to the extent Tenant’s Security System unreasonably interferes with any Landlord security system or any of the Building Systems and/or equipment, Tenant shall not be entitled to install, operate or manage the same and shall promptly remove it at Tenant’s sole cost and expense; provided further, however, the cost of such Tenant Security System may be deducted from the undisbursed Improvement Allowance, pursuant to the terms of the Improvement Agreement attached hereto as Exhibit C. Tenant shall be solely responsible, at Tenant’s sole cost and expense, to install a separate security system for the Premises (“Security System”)monitoring, provided that any such Security System shall be subject to Landlord’s reasonable prior review and approval of the plans and specifications for such Security System. Any Tenant Security System is compatible with Landlord’s security system and the Building’s systems and equipment and installed, or caused to the extent that Tenant’s Security System is not compatible with Landlord’s security system and the Building systems equipmentbe installed, Tenant shall not be entitled to install or operate said Security System. Tenant shall monitor, keep and maintain the Security System in good working order, condition and repair throughout the Term.
