Security Agent fee. (a) The Borrower shall pay to the Security Agent (for its own account) a security agency fee in the amount and at the times agreed in a Fee Letter. (b) Notwithstanding the other provisions of this Clause 12.4 or any Fee Letter, if no Utilisation is made under this Agreement, none of the fees referred to in this Clause 12.4 shall be payable.
