Section 401(a) Qualification; Exemption. Each Company Plan intended to be “qualified” within the meaning of Section 401(a) of the Code has received a determination letter from the Internal Revenue Service to the effect that it is so qualified. To the Knowledge of the Seller, nothing has occurred since the issuance of such letter which would reasonably be expected to affect such Company Plan’s qualification. Except as would not reasonably be expected to have a Company Material Adverse Effect, there are no pending or, to the Knowledge of the Seller, threatened claims made in writing by or on behalf of any Company Plan, by any current or former employee, officer or director or beneficiary thereof covered under any such Company Plan in their capacity as such, or otherwise involving any such Company Plan (other than routine claims for benefits), and the Seller has no Knowledge of facts which would form a reasonable basis for any such claim.
