Secretary's Certificate of Holdings. Holdings shall have ----------------------------------- delivered to the Investor at the Closing a certificate dated the date of the Closing and signed by the Secretary or an Assistant Secretary of Holdings certifying: (a) that attached thereto is a correct and complete copy of the Certificate of Incorporation of Holdings as in effect on the date of the Closing; (b) that attached thereto is a correct and complete copy of the By-Laws of Holdings as in effect on the date of the Closing; (c) that attached thereto is a correct and complete copy of all resolutions adopted by the Board of Directors of Holdings authorizing (i) the execution, delivery and performance of each Transaction Document to which Holdings is a party, (ii) the issuance, sale and delivery of the Warrant and (iii) the reservation, issuance and delivery of the Warrant Shares, and that all such resolutions are in full force in effect; and (d) to the incumbency and specimen signature of certain officers of Holdings.

The documents referred to in such certificate shall be attached to such certificate.

Terms used herein and not otherwise defined shall have the meanings ascribed to them in the Purchase Agreement. The undersigned, ____________, Secretary of the Company, hereby certifies, on behalf of the Company and not in his individual capacity, as follows:

The successor Owner Trustee will promptly deliver a file-stamped copy of the certificate of amendment to the Administrator.
