Common use of SEC Filings and Other Disclosures Clause in Contracts

SEC Filings and Other Disclosures. If either Party concludes that a copy of this Agreement must be filed with the United States Securities and Exchange Commission or a similar regulatory agency in a country other than the United States, such Party will (i) a reasonable time prior to any such filing, provide the other Party with a copy of the Agreement showing any provisions hereof as to which the Party proposes to request confidential treatment, (ii) provide the other Party with an opportunity to comment on any such proposed redactions and to suggest additional redactions, and (iii) take such Party’s reasonable comments into consideration before filing such Agreement and use Commercially Reasonable Efforts to have terms identified by such other Party afforded confidential treatment by the applicable regulatory agency.

If either Party concludes that a copy of this Agreement must be filed with the United States Securities and Exchange Commission Commission, the AMF, or a similar regulatory agency in a country any other than the United Statescountry, such Party will will: (ia) within a reasonable time prior to any such filing, provide the other Party with a copy of the Agreement showing any provisions hereof as to which the Party proposes to request confidential treatment, ; (iib) provide the other Party with an opportunity to comment on any such proposed redactions and to suggest additional redactions, ; and (iiic) take such Party’s reasonable comments into consideration before filing such Agreement and use Commercially Reasonable Efforts commercially reasonable efforts to have terms identified by such other Party afforded confidential treatment by the applicable regulatory agency.
