The Supplier shall observe sound management practices, and employ as appropriate advanced technology and safe methods of work. In respect of this Contract, the Supplier shall always act as a faithful adviser to the Bank and shall at all times support and safeguard the Bank’s legitimate interests in any dealings with sub-contractors or third parties.
1.2 This Maintenance Contract shall remain valid during the same period of validity of the Contract for the supply, installation, training and maintenance of management action record system (MARS) concluded between the Bank and the Supplier (hereinafter referred to as the “Initial Period”), including any renewal period (hereinafter referred to as the “Renewal Period”).
1.3 The Supplier warrants that it is qualified by the manufacturer, in case of third party products, to supply and provide maintenance services, technical or help desk support, new version upgrade and/or other services related to the Hardware and Software installed. The Supplier further warrants that its work will not negatively affect the performance of the system.
1.4 Where the Supplier has launched a new version of the major standard version of the Software procured by the Bank under the Contract and has provided the Bank with this new version of the Software in accordance with this Maintenance Contract, the services under this Maintenance Contract shall be provided by the Supplier with regards to any previous major standard version of the Software installed in the System for a maximum period of twenty-four (24) months following the launch date of such previous version of the Software. For greater clarity, if the Bank does not install a newer version of the software that was provided by the supplier, the obligations of the Supplier to provide services under this Maintenance Contract shall be suspended after this period of twenty-four (24) months, without affecting the obligation of the Bank to pay the agreed contract amounts to the Supplier.

B. PREPA reserves the right to purchase in the open market up to approximately twenty-five percent (25%) of its estimated contract requirements if such quantities become available at a lower price than that contracted price at the time of purchase.
C. The Contract shall become effective on the date of its signature, and will be in effect for a period of one (1) year after the commencement date as notified by PREPA. This Contract is subject to one (1) automatic extension of one (1) year, unless and until either party indicates its intention that said automatic extension does not occur by providing written notice no less than one hundred twenty days prior to the termination of the initial period or its extension.
D. The Contract may be extended on a monthly basis upon mutual agreement after the end of the contracted term or its renewal, provided that, said extensions shall not exceed four (4) consecutive months, except when an emergency is declared by PREPA's Governing Board.
